TERMS OF USE

These Terms of Use ("Agreement") are a legally binding agreement between you, whether personally or on behalf of an entity ("you") and Scornd LLC ("Company," "we," "us," or "our"), governing your access to and use of the Scornd website, including any related media form, media channel, mobile website, or mobile application (collectively, the "Site"). By accessing the Site, you agree to be bound by this Agreement and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing the Site.

1. Agreement to Terms

By accessing and using the Site, you acknowledge that you have read, understood, and agreed to be bound by this Agreement. 3. Intellectual Property Rights

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Scornd LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Site for your personal, non-commercial use. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Site, except as follows:

• Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
• You may store files that are automatically cached by your web browser for display enhancement purposes.

While using the Site, you agree not to engage in any of the following prohibited activities:

• Harass, abuse, stalk, blackmail, or harm another person based on their race, national origin, gender, sexual preference, physical handicap, or any other characteristic protected by law.
• Use the Site in a manner that violates any applicable laws or regulations.
• Use the Site to make decisions about consumer credit, employment, insurance, or tenant screening without proper authorization and compliance with relevant laws.
• Upload or transmit viruses, Trojan horses, or any other material that may interfere with the proper functioning of the Site or the experience of other users.
• Delete or modify any copyright or proprietary rights notices from any content on the Site.
• Attempt to impersonate another user or person, or use the username of another user.
• Use the Site to collect or transmit any information or data without proper authorization or in violation of privacy laws.

• Harass, annoy, intimidate, or threaten any employees or agents of Scornd LLC involved in providing the Site to you.
• Attempt to bypass any security measures or access restrictions on the Site.
• Copy, adapt, or reverse engineer any software or code used on the Site.
• Use any automated systems, such as bots, spiders, or scrapers, to access or interact with the Site without proper authorization.
• Engage in any activity that violates the terms of this Agreement or any applicable law or regulation.

6. User Generated Contributions

The Site may provide you with the opportunity to create, submit, post, display, transmit, or otherwise make available content and materials, including but not limited to text, images, videos, comments, and suggestions (collectively, "Contributions"). By making any Contributions, you represent and warrant that:

• You have all necessary rights, licenses, and permissions to share and authorize the use of your Contributions on the Site.
• Your Contributions do not infringe upon any intellectual property rights or proprietary rights of any third party.
• Your Contributions are accurate, complete, and not misleading.
• Your Contributions comply with all applicable laws, regulations, and ethical standards.
• Your Contributions do not contain any offensive, defamatory, or harmful content.
• Your Contributions do not violate the privacy or publicity rights of any third party.
• Your Contributions do not promote or endorse violence, discrimination, or illegal activities.

You understand and agree that Scornd LLC does not endorse or guarantee the accuracy, reliability, or appropriateness of any Contributions posted on the Site. Scornd LLC reserves the right to remove, edit, or refuse any Contributions at its sole discretion.

7. Ownership of Contributions

You retain ownership of all intellectual property rights and other proprietary rights in your Contributions. By making Contributions on the Site, you grant Scornd LLC a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your Contributions in connection with the operation of the Site and Scornd LLC's business, including without limitation for promoting and redistributing part or all of the Site.

The Site may contain links to third-party websites and may display content provided by third parties ("Third-Party Websites" and "Third-Party Content," respectively). Scornd LLC does not endorse or assume any responsibility for the content, accuracy, or practices of Third-Party Websites. Your interactions with Third-Party Websites and use of Third-Party Content are solely at your own risk and may be subject to separate terms and conditions.

9. Site Management

Scornd LLC reserves the right, but not the obligation, to:

• Monitor the Site for violations of this Agreement.
• Take appropriate legal action against users who violate this Agreement, including reporting them to law enforcement authorities.
• Refuse, restrict access to, or disable any user's Contributions or any part of the Site, at any time and for any reason, without prior notice.
• Remove or disable any files or content that may disrupt the operation of the Site or impose an excessive burden on its infrastructure.
• Manage the Site in a manner to protect the rights and property of Scornd LLC and ensure its proper functioning.

10. Privacy Policy

SCORND LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SCORND LLC MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE SITE OR ANY CONTENT THEREIN. YOUR USE OF THE SITE IS AT YOUR SOLE RISK.

13. Limitation of Liability

IN NO EVENT SHALL SCORND LLC, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR THIS AGREEMENT, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14. Indemnification

You agree to indemnify, defend, and hold harmless Scornd LLC, its subsidiaries, affiliates, partners, officers, directors, employees, and agents, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your use of the Site, your Contributions, or any violation of this Agreement.

15. Governing Law

This Agreement and any dispute arising out of or related to it shall be governed by and construed in accordance with the laws of the jurisdiction where Scornd LLC is located, without regard to its conflict of law provisions.

16. Severability and Waiver

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions of this Agreement will continue to be valid and enforceable. The failure of Scornd LLC to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision.

17. Entire Agreement

This Agreement constitutes the entire agreement between you and Scornd LLC regarding the Site and supersedes all prior or contemporaneous understandings and agreements, whether written or oral.
